Commercial Banking, one of the JPMorgan Chase & Co. businesses, delivers extensive industry knowledge, local expertise and dedicated service to corporations, municipalities, financial institutions and not-for-profit organizations with annual revenue generally ranging from $20 million to $2 billion and to real estate investors/owners. The Commercial Banking Legal team is seeking an attorney experienced in commercial financing matters. The position will be based in Plano, TX or Chicago, IL. The position will involve a range of secured and unsecured financings, with a focus on providing legal support for the Equipment Finance (EF) business within Commercial Banking. EF is a national business serving the equipment finance needs of mid-size companies, large corporations and other institutions. EF finances a wide variety of equipment types, which includes loan and leasing activities.
The attorney will be part of a team of Legal colleagues (the Credit Markets team) that also supports Asset Based Lending, Financial Sponsors Group, Commercial Banking Syndications and the ESOP Advisory Group. The attorney will also provide legal support to an additional Commercial Banking sub-line of business, such as Asset Based Lending or Middle-Market Banking and Specialized Industries.
Responsibilities will include:
- Counsel bankers on structuring and documenting a variety of credit and banking transactions.
- Provide transactional support, including the review, negotiation and drafting of credit and collateral documentation, confidentiality agreements, indicative term sheets and other proposals, commitment letters, amendments and waivers.
- Analysis and advice on structural and risk issues; drafting, tailoring and negotiating bank lease documentation (including specialized financial covenants) for specific transactions; creating and negotiating documentation for non-standard structures; reviewing and negotiating agreements with customer and customer’s outside counsel; advising on RFP responses.
- Advise, in conjunction with Special Credits Legal, on troubled credit situations, waivers, amendments and forbearance agreements.
- Syndications support, including drafting, review and negotiation of standard and non-standard assignment/purchase agreements.
- Advising clients on regulatory and compliance policies and issues; conducting legal research; staying current on trends and developments in secured lending generally.
- Identifying and mitigating risks (legal, operational, reputational and other).
- Supporting, managing and maintaining outside counsel relationships; coordinating engagement of outside counsel.
- Creating, revising and maintaining standard form documentation.
- Periodic projects related to new product offerings, regulatory matters and other business initiatives.
- Providing training for underwriters, bankers, analysts, associates, operational staff, and customer support staff on legal issues.
Qualifications:
- Licensed attorney in good standing with at least 5 years of relevant commercial finance transactional experience with a law firm or in-house legal department at a bank or other financial institution.
- Attorney must be licensed to practice law and a member in good standing in the jurisdiction where the role will be located prior to commencement of employment or otherwise in compliance with the in-house counsel registration rules of such jurisdiction.
- General knowledge of credit, secured lending and documentation issues; knowledge of legal and regulatory requirements, issues and documentation for secured lending transactions (knowledge of leasing and equipment finance transactions would be a plus).
- Excellent research, writing and oral communication skills, with demonstrated ability to listen and drive results in a team setting.
- Collegial; able to build and maintain good relationships with clients and colleagues.
- Effective and efficient problem solver; excellent organizational skills with strong ability to prioritize and multi-task.
- Self-starter with strong analytical and collaborative skills; able to deliver high-quality results under tight deadlines.
